Terms of Service

Qualigon provides software and related services designed to support deviation investigations, root cause analysis, and other quality workflows in life sciences and manufacturing environments.

The service may include workflow tools, data integrations, document handling, machine learning-assisted analysis, audit functionality, and related support features. We may modify, improve, or update the service from time to time.

You may use the service only in compliance with applicable law and only if you are authorized to do so. You are responsible for maintaining the confidentiality of account credentials and for all activity occurring under your accounts.

You must provide accurate information when creating or administering accounts and must promptly update that information if it changes.

You retain all rights, title, and interest in and to the data, records, documents, and other materials that you submit to or process through the service.

You grant Qualigon a limited, non-exclusive right to host, use, copy, transmit, display, and otherwise process customer data solely as necessary to provide, maintain, secure, support, and improve the service, and as otherwise permitted by applicable agreements and law.

You are responsible for the accuracy, quality, legality, and right to use customer data, including ensuring that you have all required rights, notices, consents, and authorizations.

To the extent Qualigon processes personal data on your behalf, such processing is performed in accordance with applicable data protection laws and any applicable data processing agreement.

Qualigon and its licensors retain all rights, title, and interest in and to the service, including all software, technology, models, workflows, interfaces, designs, documentation, and related intellectual property rights.

Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

You may not use the service to violate applicable law, infringe the rights of others, interfere with the security or operation of the service, attempt unauthorized access, introduce malicious code, or use the service in a manner that could harm Qualigon, other customers, or third parties.

You may not reverse engineer, decompile, disassemble, copy, or create derivative works of the service except to the extent such restriction is prohibited by applicable law.

The service may use machine learning models and related automated methods to generate suggested hypotheses, analyses, summaries, classifications, and draft content based on available data.

Such outputs are probabilistic in nature and may not always be complete, accurate, or appropriate for a given use case. You are responsible for reviewing, validating, and approving all outputs before relying on them.

The service is intended to support, not replace, the judgment of qualified personnel. Outputs are not intended to serve as the sole basis for regulated quality, manufacturing, compliance, or release decisions without appropriate human review.

The service does not provide professional, regulatory, legal, or quality advice, and should not be relied upon as such.

Qualigon is designed for use in highly regulated environments, including GMP-related workflows. However, you remain solely responsible for your quality system, validation activities, standard operating procedures, review and approval processes, training, recordkeeping, and compliance with applicable laws, regulations, and guidance.

Your use of the service does not transfer to Qualigon any of your regulatory, quality, safety, or operational obligations.

The service is not intended to serve as the system of record for regulated quality documentation unless explicitly agreed in writing. Customers remain responsible for maintaining official records within their designated quality management systems.

Each party may receive non-public, confidential, or proprietary information from the other party. The receiving party will use the disclosing party's confidential information only as needed to exercise its rights or perform its obligations under these Terms and will protect it using reasonable safeguards.

Confidential information does not include information that is or becomes public through no fault of the receiving party, was already lawfully known, is independently developed without use of the confidential information, or is lawfully obtained from a third party without restriction.

Fees, billing terms, and payment obligations, if any, will be set out in an order form, subscription agreement, statement of work, or other written agreement between you and Qualigon.

Unless otherwise stated in a written agreement, fees are non-cancelable and non-refundable except as required by law.

These Terms remain in effect while you access or use the service. Either party may terminate access or use in accordance with any applicable written agreement or, if no such agreement exists, by ceasing use of the service.

Qualigon may suspend or terminate access if we reasonably believe you have violated these Terms, for non-payment, if required by law, or if your use poses a security, legal, or operational risk.

Upon termination, your right to use the service will end, and customer data will be returned or deleted in accordance with applicable contractual terms, legal requirements, and our data retention practices.

Except as expressly stated in a written agreement, the service is provided on an “as is” and “as available” basis. Qualigon disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Qualigon does not warrant that the service will be uninterrupted, error-free, or suitable for every use case.

To the maximum extent permitted by law, Qualigon and its affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, business, goodwill, or use, arising out of or relating to the service or these Terms.

To the maximum extent permitted by law, Qualigon's aggregate liability arising out of or relating to the service or these Terms will not exceed the amounts paid or payable by you to Qualigon for the service during the twelve months preceding the event giving rise to the claim. If no fees were paid, Qualigon's total liability will be limited to one hundred U.S. dollars (US$100).

You will defend, indemnify, and hold harmless Qualigon and its affiliates, officers, directors, employees, and agents from and against third-party claims, damages, liabilities, costs, and expenses arising out of or relating to your customer data, your misuse of the service, or your violation of these Terms or applicable law.

These Terms are governed by the laws specified in the applicable written agreement between you and Qualigon. If no such agreement specifies governing law, these Terms will be governed by the laws of the State of Delaware, excluding its conflict of laws principles.

Qualigon may update these Terms from time to time. If we make material changes, we will post the updated version on this page and update the effective date above. Your continued use of the service after the effective date of the updated Terms constitutes acceptance of the revised Terms.
